BOARD OF DIRECTORS

Jeffrey Leiden, MD, PhD
Chairman

(Director since 2008, Chairman of the Board, Compensation Committee, Audit Committee) has more than 20 years of experience in the biomedical and pharmaceutical sectors. Dr. Leiden was President and COO of Abbott Laboratories, Pharmaceuticals Products Group, and a member of the Abbott Board of Directors and the TAP Board of Directors from 2000-2006. From 1987-2000 Dr. Leiden held several academic appointments including Chief of Cardiology and Director of the Cardiovascular Research Institute at the University of Chicago, the Elkan R. Blout Professor of Biological Sciences at the Harvard School of Public Health, and Professor of Medicine at Harvard Medical School. During his academic career, Dr. Leiden was involved in starting several biotechnology companies including Vical and Cardiogene. He is an elected member of both the American Academy of Arts and Sciences, and the Institute of Medicine of the National Academy of Sciences. Dr. Leiden represents Clarus on the Board of Directors of TyRx Pharma, Inc. and is Chairman of the Board of Variation Biotechnologies, Inc. Dr. Leiden is also a member of the Board of Directors of Millennium Pharmaceuticals, Inc. (MLNM), a non-executive director of Shire plc and a member of the Board of Trustees of the Ravinia Festival and the University of Pennsylvania School of Medicine. Dr. Leiden received both his medical degree and PhD from the University of Chicago and an honorary MA from Harvard University.

William Edelman
President and Chief Executive Officer

(Director since 2004): CEO & President of TyRx since January, 2004, Mr. Edelman has during his 27-year career in the medical device industry, held executive level positions at MicroSense International, LLC (Chairman & CEO, bio-sensing technologies), FibraSonics, Inc., (President, ultrasonic surgical products), NeuroMod, Inc., (President & CEO, neuro-stimulation technologies), St. Jude Medical, Inc., (Director, Research and Development, intra-aortic balloon catheter technologies), Pfizer, Inc. (Director, Schneider Laser Division, excimer laser assisted coronary angioplasty products), and Baxter International, Inc. Mr. Edelman graduated with a BS degree in Biomedical Engineering from Rensselaer Polytechnic Institute, 1978. Mr. Edelman has been issued 16 U.S. and International patents in the medical technology field.

Charles Cahn
(Director Since 2003, Audit Committee): Mr. Cahn is CEO of Cahn Medical Technologies, which invests in and helps manage start-up medical-technology companies. In addition to TyRx, he sits on the boards of Cylex, which delivers a predictive analytic directed at immune suppressed patients; MicroMRI, an MRI-based diagnostic company focused on osteoporosis; and Calretex which has a wound healing product under development. Mr. Cahn is former senior vice president at Sanford C. Bernstein & Co., where he served on the board of directors and as senior managing director of the research business. Previously, he was the firm's director of research and, earlier still, a securities analyst.

Michael T. Heffernan, B.S. Pharm
(Director since 2002, Compensation): Mr. Heffernan is a proven entrepreneur and senior level executive with significant experience ranging from start-ups to restructuring of a larger company. He has extensive knowledge and contacts throughout the pharmaceutical and biotechnology industry. Mr. Heffernan has worked directly with over 100 companies in the biopharmaceutical industry including consulting on the development/implementation of drug development plans, creation of partnership relationships, and development of marketing programs to launch new products. Mr. Heffernan is currently a Co-Founder and President of Collegium Pharmaceuticals, Inc., a specialty pharmaceutical company. Previous to that, he was President/CEO and Director of PhyMatrix. He was also President and CEO of Clinical Studies Ltd., a clinical research site management organization.

Scott Requadt, JD, MBA, Principal, Clarus Ventures
Prior to joining Clarus, Scott was Director, Business Development of TransForm Pharmaceuticals, Inc. At TransForm, Scott had broad responsibility for business development, corporate development and legal activities, and negotiated deals with ten pharma partners that accounted for over $30 million in recognized revenue. He was also responsible for managing the company’s intellectual property group and played a pivotal role in the company’s acquisition by Johnson & Johnson in April 2005 for ~$230 million in cash. Prior to TransForm, Scott was an attorney specializing in mergers & acquisitions at the NYC-based law firm of Davis Polk & Wardwell where, among other things, he completed numerous public and private deals worth in excess of $1 billion, negotiated credit facilities of more than $10 billion and represented two companies during their initial public offerings. Before that, Scott was a law clerk for a senior judge at the Supreme Court of Canada. Scott holds a B.Com (Economics & Finance) from McGill University (First Class Honors), a J.D. from University of Toronto and most recently an MBA from Harvard Business School, where he was a Baker Scholar. Mr. Requadt is a member of the Board of Directors for TyRx Pharma, Inc.. and a Board observer for Oxford Immunotec and Variation Biotechnologies.

Art Pappas, Managing Partner, Pappas Ventures
(Director since 2008, Compensation Committee, Audit Committee): Art has over 30 years of operating experience as a pharmaceutical and biotechnology industry executive and venture capital investor in life science companies. He has assembled a team of investment, biotechnology and medical experts who manage over $250 million and oversee investments in more than 40 portfolio companies. Prior to founding Pappas Ventures in 1994, Art held senior level leadership positions at several multinational pharmaceutical companies. He was an executive member of the board of directors of Glaxo Holdings plc, for which he was responsible for international operations including research, development and manufacturing. Art previously was Vice President of Commercial Operations for Abbott International Ltd., and he held various executive operating positions with Merrell Dow Pharmaceuticals and the Dow Chemical Company, in the United States and internationally. Among the companies for which he currently serves as a director are: AtheroGenics (Nasdaq: AGIX), which conducted a successful IPO in 2000, BrainCells and Genstruct. He was the founding CEO and is currently the chairman of CoLucid Pharmaceuticals. Some of the firm's representative investments include Cerexa Pharmaceuticals (acquired by Forest Laboratories); Syntonix Pharmaceuticals (acquired by Biogen Idec); Peninsula Pharmaceuticals (acquired by Johnson & Johnson); Panacos Pharmaceuticals (Nasdaq: PANC); NuVasive (Nasdaq: NUVA); AtheroGenics (Nasdaq: AGIX); Gene Logic (Nasdaq: GLGC); Nuvelo (Nasdaq: NUVO; previously Variagenics); and Arena Pharmaceuticals (Nasdaq: ARNA). Art is a member of the National Venture Capital Association (NVCA) Medical Industry Group Advisory Board. He previously served on the boards of Embrex (Nasdaq: EMBX), Quintiles Transnational and Valentis (Nasdaq: VLTS). Art is a decorated Vietnam veteran, having served as an officer in the US Army 101st Airborne Division and the Special Forces.


Sean McCarthy, D.Phil., MBA, Principal, Pappas Ventures
(Oberserver since 2008) Sean has ten years of operating experience in the biotechnology industry in business development, program management and research management. He has held positions at Millennium Pharmaceuticals and SGX Pharmaceuticals, an oncology focused biotechnology company located in San Diego, where he served as Vice President of Business Development. Under his leadership SGX entered into a wide range of strategic partnerships with major pharmaceutical companies including Eli Lilly, Roche and Novartis, with whom a $515M oncology alliance was forged in March 2006 to develop novel therapies for chronic myelogenous leukemia. Prior to SGX, Sean was responsible for research into gene discovery and for management of several drug discovery programs at Millennium. His discovery team invented novel genomic techniques for the identification of therapeutic proteins and played a central role in a major alliance with Eli Lilly. He is the author of 17 peer reviewed scientific publications and an inventor on 29 issued patents and filed patent applications. Sean joined Pappas Ventures in August 2006 and is a board observer at CoLucid Pharmaceuticals.
